Welcome to Soqy.

These Terms of Use (“Terms”) govern your access to and use of the Soqy mobile application, website, and related services (collectively, the “Service”).

Soqy is operated by Elegantech Labs Inc. (“Soqy,” “we,” “us,” or “our”).

By accessing or using Soqy, you agree to these Terms. If you do not agree to these Terms, you should not use the Service.

1. What Soqy Is

Soqy is a discovery and connection platform designed to help customers find nearby fruit and vegetable vendors and contact them directly, including through WhatsApp.

Soqy does not currently:

When a customer contacts a vendor through WhatsApp or another external communication method, any resulting purchase, delivery, payment, refund, or other arrangement is made directly between the customer and the vendor.

Soqy is not a party to that transaction.

2. Eligibility

You must have the legal capacity to use the Service and agree to these Terms.

Vendor accounts may only be created and operated by individuals who are at least 18 years old or otherwise legally authorized to operate the applicable business or commercial activity.

If you use Soqy on behalf of a business or other organization, you represent that you have authority to act on its behalf.

3. Customer Use

Customers may browse available vendor listings without creating an account unless Soqy introduces account-based features that require registration.

Customers are responsible for evaluating vendors and products before entering into a transaction.

Soqy does not inspect, certify, supervise, approve, endorse, or guarantee vendors or their products unless we explicitly state otherwise.

The appearance of a vendor on Soqy does not mean that Soqy has:

4. Vendor Accounts and Listings

Vendors may create an account and publish a listing through Soqy.

Vendors are responsible for ensuring that all information associated with their account and listing is accurate, current, lawful, and not misleading.

Soqy may modify, hide, suspend, or remove listings that appear inaccurate, fraudulent, misleading, unlawful, inactive, unsafe, or inconsistent with these Terms.

5. Vendor Responsibility for Products

Each vendor is solely responsible for the products they offer and any transaction entered into with a customer.

This includes responsibility for:

Nothing in these Terms removes any legal rights a customer may have directly against a vendor under applicable law.

6. Prices and Product Availability

Prices displayed on Soqy are generally entered or provided by vendors.

Fruit and vegetable prices may change frequently because of supply, seasonality, availability, market conditions, location, quality, quantity, and other factors.

Unless expressly stated otherwise, a price displayed on Soqy should be treated as informational and may not necessarily be the final price offered by a vendor.

Customers should confirm the final:

Soqy does not guarantee that displayed prices, inventory, products, or availability are accurate or current.

7. Transactions Between Customers and Vendors

Any purchase or arrangement made after a customer contacts a vendor is a direct transaction between those parties.

Customers and vendors are responsible for agreeing on matters such as:

Soqy is not responsible for collecting money, issuing refunds, enforcing agreements, completing deliveries, or resolving private payment or product disputes unless Soqy explicitly introduces such a service in the future.

8. WhatsApp and Third-Party Services

Soqy may allow customers to contact vendors using WhatsApp or other third-party services.

WhatsApp and other third-party platforms operate independently from Soqy.

Soqy does not own, operate, or control those services and is not responsible for:

Use of a third-party service is also subject to that service's own terms and privacy policies.

Soqy is not affiliated with, sponsored by, or endorsed by WhatsApp or Meta unless expressly stated otherwise.

9. Location Information

Soqy may use location information to help customers discover vendors nearby.

Vendor locations and distance estimates may be based on information supplied by vendors, device location services, mapping providers, or other sources.

Locations may sometimes be inaccurate, approximate, outdated, or unavailable.

Customers should confirm a vendor's actual location before traveling to meet or purchase from the vendor.

Vendors should not intentionally provide false or misleading location information.

10. Maps and Other Third-Party Data

Soqy may use third-party mapping, location, analytics, communications, infrastructure, or other services.

Information supplied by third-party services may occasionally be incomplete or inaccurate.

Your use of certain third-party functionality may also be governed by the applicable provider's terms.

11. User and Vendor Content

Users or vendors may submit or provide content including:

You retain ownership of content you own.

By submitting content to Soqy, you grant Elegantech Labs Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and otherwise use that content as reasonably necessary to operate, promote, improve, and provide Soqy.

This license ends when the content is permanently removed from Soqy, except where continued storage or use is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution, or enforcement.

You represent that you have the necessary rights and permissions to provide content you submit to Soqy.

12. Prohibited Conduct

You may not use Soqy to:

Soqy may remove or restrict a vendor or listing where we reasonably believe there is:

14. Reports and Complaints

Users may report vendors, listings, content, or conduct that they believe violates these Terms.

We may review reports and take action at our discretion, including:

15. Intellectual Property

Except for user and vendor content, Soqy and its associated software, branding, logos, designs, interfaces, databases, text, graphics, features, and other materials are owned by or licensed to Elegantech Labs Inc. and are protected by applicable intellectual property laws.

You may not copy, modify, reproduce, sell, license, reverse engineer, distribute, or commercially exploit protected portions of the Service except where permitted by law or expressly authorized by us.

16. Account Security

Vendors are responsible for maintaining the confidentiality and security of their account credentials.

You are responsible for activity occurring through your account unless caused by a failure of Soqy's systems.

You should notify us if you reasonably believe that your account has been accessed without authorization.

17. Suspension and Termination

We may suspend, restrict, or terminate access to Soqy if we reasonably believe that a user or vendor:

Users may stop using Soqy at any time.

18. Changes or Discontinuation of the Service

Soqy is an evolving product.

We may add, modify, remove, suspend, or discontinue features or portions of the Service.

We do not guarantee that any particular feature will remain available permanently.

Where legally required, we will provide appropriate notice of material changes.

19. No Warranty

To the fullest extent permitted by applicable law, Soqy is provided on an “as is” and “as available” basis.

20. Limitation of Liability

This includes, where legally permitted, losses arising from:

21. Indemnification

To the extent permitted by applicable law, if you operate a vendor account, you agree to indemnify and hold harmless Elegantech Labs Inc., Soqy, and their officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from or related to:

22. Privacy

Your use of Soqy is also subject to our Privacy Policy.

The Privacy Policy explains how Soqy may collect, use, store, and otherwise process personal information, including information associated with accounts, device usage, and location features.

23. Consumer Rights

Nothing in these Terms is intended to waive or restrict any consumer rights that cannot lawfully be waived.

Vendors remain responsible for complying with consumer protection, food safety, commercial, tax, licensing, and other laws that apply to their activities.

Soqy's role as a technology and discovery platform does not eliminate obligations that applicable law independently imposes on a vendor, customer, or Soqy.

24. Compliance With Local Laws

Users and vendors are responsible for complying with laws applicable to their activities and transactions.

A vendor is responsible for determining whether any license, permit, registration, authorization, tax obligation, food-safety requirement, or other legal requirement applies to their business.

Soqy's decision to allow a listing onto the Service does not constitute confirmation that the vendor has satisfied every applicable regulatory requirement.

25. Disputes Between Customers and Vendors

Customers and vendors should attempt to resolve transaction disputes directly with one another.

Because Soqy is not a party to transactions arranged outside the Service, Soqy generally has no obligation to:

26. Governing Law

These Terms and the operation of Soqy by Elegantech Labs Inc. are governed by applicable law.

To the extent legally permissible, matters concerning the corporate operation of Elegantech Labs Inc. and these Terms will be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

However, nothing in these Terms excludes the application of mandatory consumer protection, privacy, commercial, food-safety, or other laws that apply in a user's or vendor's jurisdiction, including applicable laws of the Arab Republic of Egypt.

27. Dispute Resolution

Before commencing formal proceedings against Soqy, you agree, where legally permitted, to first contact us and provide a reasonable opportunity to resolve the dispute informally.

Nothing in this section prevents either party from seeking relief from a court or regulatory authority where such a right cannot legally be restricted.

28. Changes to These Terms

We may update these Terms as Soqy changes.

When we make material changes, we may update the “Last Updated” date and provide additional notice where required.

Your continued use of Soqy after updated Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.

29. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

30. No Waiver

If Soqy does not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

31. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for particular Soqy features, constitute the agreement between you and Elegantech Labs Inc. regarding use of the Service.
